Agreements
Use this reference for NDAs, MSAs, SOWs, settlement agreements, releases, promissory notes, bills of sale, personal loan agreements, roommate agreements, and mutual-understanding agreements.
Structure
An agreement should define parties, effective date, consideration, obligations, payment or performance terms, confidentiality if any, default/cure, governing law, signatures, and exhibits or schedules.
Common shells
- NDA: confidentiality scope, exclusions, term, return/destruction, remedies.
- MSA/SOW: master terms plus specific work, fees, deliverables, acceptance, change control.
- Settlement/release: claims released, payment, confidentiality/non-disparagement if appropriate, no admission.
- Promissory note/payment agreement: amount, schedule, interest if any, default, cure, acceleration.
- Bill of sale: item, consideration, as-is terms, transfer date.
Drafting checks
- Define the parties exactly.
- Avoid hidden business terms in recitals.
- Put money, dates, deliverables, and remedies in operative clauses.
- Flag terms needing counsel review, especially family-law waivers, support, custody, tax, IP, and noncompete language.
