Non-Disclosure Agreement Template

This Non-Disclosure Agreement is entered into on [date] between [Disclosing Party] and [Receiving Party].

Purpose

The parties wish to discuss or exchange information concerning [project, relationship, or proposed transaction].

Confidential Information

Confidential Information includes nonpublic business, financial, technical, legal, or personal information disclosed in connection with that purpose.

Obligations

The Receiving Party will:

  1. Use the Confidential Information only for the permitted purpose.
  2. Limit disclosure to persons with a need to know.
  3. Protect the information with reasonable care.
  4. Not disclose the information except as permitted by this Agreement.

Exclusions

Confidential Information does not include information that is publicly available, already known without restriction, or lawfully received from another source.

Term and return

This Agreement remains effective until [date or event]. Upon request, the Receiving Party will return or destroy Confidential Information subject to any lawful retention requirement.
