Simple Release Template
RELEASE OF CLAIMS

Recitals
WHEREAS, a dispute or claim has arisen between the parties relating to [brief description of the matter — e.g., a personal injury occurring on [date], a contract dispute relating to [subject], an employment matter, etc.]; and
WHEREAS, the parties desire to resolve the matter fully and finally without the expense or uncertainty of further proceedings;
NOW, THEREFORE, for good and valuable consideration as set forth below, the parties agree as follows.
Consideration
Releasee shall pay, or has already paid, to Releasor the sum of [[amount]) [and/or provide the following non-monetary consideration: _______________], the receipt and sufficiency of which Releasor hereby acknowledges.
Release
In consideration of the foregoing, Releasor, for Releasor and Releasor’s heirs, executors, administrators, successors, and assigns, hereby fully and forever releases, acquits, and discharges Releasee, and Releasee’s [heirs / officers / directors / employees / agents / successors, and assigns], from any and all claims, demands, actions, causes of action, suits, debts, damages, costs, losses, and liabilities of every kind and nature whatsoever, whether known or unknown, fixed or contingent, which Releasor has or may have arising out of or in any way related to:

Scope
Option A — Mutual Release: Each party releases the other on the same terms set forth above. References to “Releasor” and “Releasee” shall be construed to apply equally to both parties.
Option B — One-Way Release: This is a one-way release by Releasor only. Releasee does not release any claims Releasee may hold against Releasor unless separately agreed in writing.

Unknown Claims (include if either party is in California or as a precaution)
Releasor acknowledges awareness of Civil Code § 1542 [or comparable provision] and expressly waives any rights under it. Releasor intends this Release to cover all claims, whether or not currently known, suspected, or anticipated.
No Admission of Liability
Nothing in this Release shall be construed as an admission of liability, wrongdoing, or responsibility by either party. Releasee expressly denies any liability.
Confidentiality (optional — include if agreed)
The parties agree to keep the terms of this Release and the consideration paid strictly confidential, except as required by law or court order, or as necessary to enforce this Release.
Non-Disparagement (optional — include if agreed)
Each party agrees not to make, publish, or encourage any statement, oral or written, that disparages or damages the reputation of the other party.
Representations and Warranties
Releasor represents and warrants that:
- Releasor has not assigned, transferred, or otherwise conveyed any of the claims being released to any third party.
- Releasor has read and understands this Release.
- Releasor enters this Release voluntarily and without duress, undue influence, or misrepresentation.
- Releasor has had a reasonable opportunity to consult with counsel of Releasor’s choosing.
Governing Law
This Release shall be governed by the laws of the Commonwealth of Virginia [or insert applicable state], without regard to conflict-of-law principles.
Entire Agreement
This Release constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. It may not be amended except in a signed writing.
